You acknowledge that automated posting may violate the terms of service of certain social media platforms and that using our Service may lead to suspension, restriction, or termination of your accounts on those platforms.
You agree to indemnify, defend, and hold harmless AQB Net Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
Your use of the Service.
Any violation of these Terms of Service by you.
Any violation of the terms of service of any social media platform by you.
Any action taken by a social media platform in response to your use of our Service, including but not limited to suspension or termination of your account.
To the maximum extent permitted by applicable law, Sonity and its parent company AQB Net Inc., shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
Your use of or inability to use the Service.
Any unauthorized access to or use of our servers and/or any personal information stored therein.
Any interruption or cessation of transmission to or from our Service.
Any action or inaction by a social media platform in response to your use of our Service.
The Service is provided "as is" and "as available," without any warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Sonity and its parent company AQB Net Inc. makes no warranties or representations about the accuracy or completeness of the Service's content or the content of any sites linked to this Service and assumes no liability or responsibility for any:
Errors, mistakes, or inaccuracies of content.
Personal injury or property damage, of any nature whatsoever, resulting from your access to and use of the Service.
Any unauthorized access to or use of our servers and/or any and all personal information stored therein.
Any interruption or cessation of transmission to or from the Service.
Any bugs, viruses, trojan horses, or the like which may be transmitted to or through the Service by any third party.
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, effective immediately. Upon termination, your right to use the Service will immediately cease.
These Terms of Service and your use of the Service will be governed by and construed in accordance with the laws of the Province of Ontario/Canada, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms of Service or the use of the Service shall be resolved through binding arbitration in Toronto, ON, in accordance with the rules of the Canadian Arbitration Association. The arbitrator's decision shall be final and binding, and judgment may be entered upon it in any court having jurisdiction.
If any provision of these Terms of Service is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
11. Entire Agreement
These Terms of Service constitute the entire agreement between you and Sonity and its parent company AQB Net Inc., regarding your use of the Service and supersede any prior agreements between you and Sonity.
